Terms of Service

1. Agreement to these terms

These Terms of Service (the “Terms”) are a binding agreement between you and SmartApz (“SmartApz”, “we”, “us” or “our”), which operates ProfileBolt at profilebolt.com and related services (the “Service”). By creating an account, running a search, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you use the Service on behalf of a company or other organization, you confirm that you are authorized to accept these Terms for it, and “you” includes that organization.

These Terms incorporate the following policies, which also apply to your use of the Service: the Privacy Policy, the Acceptable Use Policy, the FCRA & permissible use notice, the Data sources & accuracy disclaimer and the Cookie Policy.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. You may not use the Service if we have previously suspended or terminated your access, or if you are barred from receiving it under applicable law, including sanctions and export-control laws.

3. What ProfileBolt does

ProfileBolt is a research workspace that helps you organize information about a person from publicly available sources into a source-linked profile. When you search, ProfileBolt shows possible matches first and then retrieves details only for the candidate you select. Every detail in a report links back to the source it came from.

ProfileBolt retrieves information from official public interfaces such as Wikipedia, Wikidata, GitHub, GitLab and Stack Overflow, from public search-engine results, from other public sources described on the Data sources page, and from profile links that you provide. ProfileBolt does not provide criminal, court, credit, financial, tenancy, telephone-carrier or other non-public records, does not log in to other websites on your behalf, and does not bypass access controls.

We may add, change or remove features and data sources at any time. Some features may be labelled as beta or preview and are provided for evaluation.

4. Not a consumer reporting agency

SmartApz is not a “consumer reporting agency”, and information provided through ProfileBolt is not a “consumer report”, as those terms are defined by the U.S. Fair Credit Reporting Act, 15 U.S.C. § 1681 et seq. (“FCRA”), or by similar state or foreign laws. ProfileBolt has not been designed or verified to meet the accuracy, dispute and notice requirements that apply to consumer reports.

You may not use the Service, or any information obtained from it, in whole or in part, as a factor in determining any person’s eligibility for employment, housing, credit, insurance, a government license or benefit, or for any other purpose covered by the FCRA or similar laws. The FCRA & permissible use notice explains this restriction in detail and forms part of these Terms.

5. Your responsibilities and permitted use

You may use the Service only for lawful purposes and in accordance with these Terms and the Acceptable Use Policy. Examples of permitted uses include:

• preparing for a meeting, interview, negotiation, partnership or introduction, by learning about a person’s public professional work;
• journalism, academic research, and business due diligence concerning public figures, professionals and organizations;
• personal safety and getting to know someone before a date, a match (for example a shidduch) or another personal introduction, provided you respect that person’s privacy;
• confirming that an online profile you have been given belongs to the person it claims to represent.

Each time you use the Service, you certify that you have a legitimate and lawful purpose, that you will not use the Service for any purpose prohibited by these Terms, and that you will comply with all laws that apply to you and to your use of information about other people, including data-protection, privacy, anti-discrimination, anti-harassment and anti-stalking laws. Where data-protection law applies to your use of information obtained through the Service, you are responsible for having a lawful basis for that use and for meeting your own obligations as a controller of that information.

6. Accounts, teams and security

You must provide accurate account information and keep it up to date. You are responsible for keeping your password confidential and for all activity in your account. Tell us immediately at info@profilebolt.com if you believe your account has been accessed without permission.

An account belongs to an organization workspace. Organization administrators can invite members and assign roles, and are responsible for ensuring that every member they invite is eligible and complies with these Terms. Research records are visible to members of the organization that created them. Accounts are for the named individual only and may not be shared.

7. Free trial, plans and fees

A new organization receives a free trial of five researched profiles, available for 14 days. A search is counted when you research a selected candidate, not when you browse possible matches; a search that returns no profile is not counted. We may change or end the free trial at any time, and you may not create multiple organizations or accounts to obtain additional free searches.

Paid plans are not yet available. When they launch, the price, billing period, renewal terms and any cancellation or refund terms will be shown to you before you purchase, and those terms will apply to your purchase. Unless stated otherwise, fees exclude taxes, which you are responsible for.

8. Your content and research records

As between you and us, you retain your rights in the search terms, notes, comments and other material you submit to the Service (“Your Content”). You grant SmartApz a limited, non-exclusive, worldwide licence to host, store, process and display Your Content only as needed to provide, secure and improve the Service and to comply with the law.

You are responsible for Your Content and for how you store, share or use research results outside the Service. You must not submit content that is unlawful, infringes anyone’s rights, or contains information you are not permitted to share.

9. Third-party sources and links

The Service displays information from, and links to, websites and services that we do not own or control. Their content is their responsibility, their own terms and privacy policies apply when you visit them, and a link does not mean we endorse them. Information shown in ProfileBolt reflects what a source published at the time it was retrieved and may since have changed or been removed.

10. Our intellectual property

The Service, including its software, design, text, graphics, logos and the ProfileBolt name, is owned by SmartApz or its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Service for your internal purposes. You may not copy, modify, distribute, sell, lease or create derivative works of the Service; reverse engineer it except where the law expressly permits; access it with bots, scrapers or other automated means; or resell, sublicense or provide its results to third parties as a service.

If you send us suggestions or feedback, we may use them without restriction or obligation to you.

11. People who appear in results

We respect the privacy of the people whose public information appears in the Service. Anyone may ask us to remove or correct information about them, or to tell them what we hold, using the removal request form or by emailing privacy@profilebolt.com. See Your privacy rights & opt-out. You agree not to try to re-identify, re-publish or re-compile information about a person who has opted out.

12. Monitoring, enforcement and cooperation

To protect the people in our results and to enforce these Terms, we may review account activity, including search terms and research records, when we have reason to believe the Service is being misused. We may refuse, limit or remove any search or result, and we may disclose information to law-enforcement or other authorities when we believe in good faith that the law requires it or that it is necessary to protect someone’s safety or rights.

13. Suspension and termination

You may stop using the Service at any time and may ask us to close your account and delete your organization’s data by emailing info@profilebolt.com. We may suspend or terminate your access immediately, without notice and without refund, if you breach these Terms or the Acceptable Use Policy, if your use creates risk or possible legal exposure for us or for others, or if we stop offering the Service. Sections that by their nature should survive termination (including the sections on our intellectual property, disclaimers, limitation of liability, indemnity and governing law) survive it.

14. Disclaimers

THE SERVICE AND ALL INFORMATION PROVIDED THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS OR TIMELINESS. WE DO NOT VERIFY THE INFORMATION RETRIEVED FROM PUBLIC SOURCES, AND WE DO NOT WARRANT THAT ANY RESULT RELATES TO THE PERSON YOU ARE RESEARCHING, THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT IT WILL MEET YOUR REQUIREMENTS. The match confidence score is an estimate and is not a guarantee of identity. You are solely responsible for checking information against its original source before relying on it.

15. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SMARTAPZ AND ITS OWNERS, EMPLOYEES, AGENTS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, OR FOR ANY DECISION YOU MAKE BASED ON INFORMATION OBTAINED THROUGH THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

Some jurisdictions do not allow certain exclusions or limitations of liability, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

16. Indemnity

You will defend, indemnify and hold harmless SmartApz and its owners, employees and agents from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or relating to your use of the Service, Your Content, your use of any information obtained through the Service, or your breach of these Terms, the Acceptable Use Policy or any law, including any use prohibited by the FCRA.

17. Governing law and disputes

These Terms and any dispute arising out of or relating to them or to the Service are governed by the laws of the State of Michigan, United States, without regard to its conflict-of-laws rules, and, where applicable, by the federal laws of the United States. You and SmartApz agree to the exclusive jurisdiction of, and venue in, the state and federal courts located in the State of Michigan for any such dispute, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or to stop misuse of the Service.

Before filing a claim, you agree to contact us at legal@profilebolt.com and try in good faith to resolve the dispute informally for at least 30 days. If you are a consumer, nothing in this section deprives you of the protection of mandatory laws of the country where you live.

18. General

These Terms, together with the policies they incorporate, are the entire agreement between you and us about the Service and replace any prior agreements on that subject. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control. Headings are for convenience only.

19. Changes to these terms

We may update these Terms from time to time. The date at the top of this page shows when they were last changed. If we make a material change, we will give reasonable notice, for example by email or a notice in the Service, and may ask you to accept the updated Terms before your next search. Continuing to use the Service after the changes take effect means you accept them.
